General terms & Conditions

The present General Terms and Conditions of Sale are an integral part of the Contract concluded between MAILSOAR, limited liability company organized under the laws of France, with a share capital of 10,000 euros, registered under number 884 139 544 RCS Lyon, having its registered office at 558 Chemin du Panorama, 69300, Caluire-et-Cuire, France (hereinafter the “Service Provider” or “MAILSOAR“; SIRET number: 884 139 544 00016 / intra-community VAT number: FR10884139544) and the Client (hereinafter the “Client“).
MAILSOAR is specialized in the assistance, advice and support of its Clients in the information technology field and more particularly in the assistance, advice and support of its Clients in the implementation and realization of their Emailing Campaigns.
The Client has had access to all the information it deems necessary, relating to the Services proposed and provided by MAILSOAR as well as their cost and is solely responsible for the adequacy of the Services proposed by MAILSOAR to its needs. In any case, the Client acknowledges that the Services proposed by MAILSOAR correspond and are in adequacy with its needs and expectations.
The present General Terms and Conditions of Sale apply throughout the duration of the Contract concluded between MAILSOAR and the Client.
1. Contractual documents
The Contract comprises the following documents in descending order of importance:
The Subscription Form for the Services of Deliverability proposed by MAILSOAR and signed by the Client.
The present General Terms and Conditions of Sale of MAILSOAR.
The documents listed above constitute the entirety of the agreement between the Parties (i.e., the Contract), with regard to the object of the Contract and replace and cancel all declarations, negotiations, commitments, oral or written communications, acceptances, and prior agreements between the Parties, relating to the same object.
The Contract shall prevail over any other document and over the Client’s documents, including any terms and conditions of purchase.
The Contract may only be modified by means of a written amendment signed by the Parties by a duly authorized representative, except in the cases expressly referred to in Article 13.4 of these General Terms and Conditions of Sale.
A reference to a document, standard, legislative provision, code, or any other document implies any modification or update of this document, standard, legislative provision or code.
2. Definitions
2.1 For the needs of the present Terms and Conditions of Sale, all capitalized terms (whether in the singular or plural) used in these Terms and Conditions of Sale, and more generally in the Contract, shall have the following definition:
” Emailing Campaign(s) ” refers to the emailing campaigns carried out by the Client.
” General Terms and Conditions of Sale ” refers to the present General Terms and Conditions of Sale MAILSOAR relating to the Services of Deliverability.
” Client(s) ” designates one (or, if necessary, several) Client(s) of the Company MAILSOAR. A Client is a natural person or a legal entity which has signed, for the needs of its activity, a Contract with MAILSOAR.
” Data(s) ” designates any type of data and/or information, of any nature whatsoever, which are transmitted and/or communicated, by any means whatsoever and/or to which one of the Parties gives access to the other Party, on any support whatsoever, within the framework of the Contract for the needs of the realization of the Services.
” Subscription Form ” refers to the subscription form that is sent by MAILSOAR to the Client, at the Client’s request.
” Infrastructure ” designates a software used by the Client for the needs of its Emailing Campaigns.
” Partner(s) ” designates any partner entity or service provider of MAILSOAR intervening within the framework of the Contract, in any manner whatsoever, in particular for technical and/or operational needs, alongside MAILSOAR.
” Service(s) “ or ” Deliverability Service(s) ” refers to all the services provided by MAILSOAR under the Contract. These services are functions of the Service(s) selected by the Client. The Services are referred to in Article 5 of the present General Terms and Conditions of Sale.
” MAILSOAR ” or ” Service Provider ” refers to MAILSOAR, a limited liability company organized under the laws of France, with a share capital of 10,000 euros, registered under number 884 139 544 RCS Lyon, having its registered office at 558 Chemin du Panorama, 69300, Caluire-et-Cuire, France.
” Third-Party ” means any person other than the Service Provider and/or the Client.
3. Object of these General Conditions of Sale
The purpose of these General Terms and Conditions of Sale is to define the rights and obligations of the Parties under the Contract as well as the terms and conditions for the performance of the Contract.
4. LIMINARY
4.1 The Client accepts and acknowledges that the Subscription Form for the Services of Deliverability proposed by MAILSOAR Company has been sent to it by MAILSOAR Company by e-mail, at its request and that the Services referred to in the said Subscription Form correspond to the Services that it has selected after discussions with MAILSOAR Company.
The Client acknowledges having access to the Contract in its entirety prior to its signature and in particular of the Pricing Schedule and the General Terms and Conditions of Sale.
4.2 The Client signs the Contract via an electronic procedure set up by MAILSOAR or remotely by the exchange of e-mails.
For this reason, the Parties acknowledge that all documents exchanged between them and signed by electronic means or by exchange of e-mails will be authentic and valid between them, in the same way as paper copies signed and exchanged in a handwritten way.
The Parties acknowledge that the technical process of electronic signature implemented makes it possible to guarantee and constitute proof of: (i) the identification of the signatory of the document, (ii) the preservation of the integrity of its contents, (iii) the preservation of the confidentiality of the Data and contents, and (iv) the time stamping of dispatch and receipt.
The Parties expressly waive the right to challenge the admissibility, validity, and probative value of the electronic signature process. The Parties also acknowledge that documents signed by electronic means will be admitted as originals before the courts and will be proof of the contents they contain, proof that is admissible, valid, and enforceable between them, in the same way, under the same conditions and with the same probative force as a document that bears a handwritten signature, in accordance with Articles 1366 to 1368 of the French Civil Code.
The electronic signature certificate is available to the Parties, and in any event, upon simple written request by the Client.
The Parties may also sign the Contract on paper.
4.3 By signing a Contract with MAILSOAR and in order to be able to benefit from the Service(s) of Deliverability to which the Client subscribes, the Client undertakes to inform and/or hand over at the time of the signature of the Contract and/or to send to MAILSOAR (by e-mail), at the latest within eight (8) days following the signature of the Contract (hereafter the “Registration Data”):
A certificate of incorporation of the signatory legal entity (or the equivalent when the Client is a company under foreign law or a natural person).
a bank statement and the SEPA (direct debit) authorization when a direct debit has been set up between MAILSOAR and the Client within the framework of the Contract.
4.4 The Client accepts and acknowledges that MAILSOAR is entitled to refuse to allow the Client to benefit from the Service(s) of Deliverability that it offers and which is (or are) the subject of the signed Contract even if the latter has sent it all the above-mentioned documents, in particular in the hypothesis where MAILSOAR has reasonable and/or legitimate doubts as to the accuracy and/or the truthfulness of the information communicated by the Client within the framework of his subscription to the Service(s) of Deliverability and in particular with regard to its identity and/or his rights on the Data object of the Contract. In such a case, MAILSOAR may terminate the Contract according to the terms and conditions stipulated in Article 9 of the present General Terms and Conditions of Sale.
4.5 In the event that the Client wishes to benefit from the Service(s) of Deliverability proposed by MAILSOAR for several companies (or entities), the Client shall conclude with MAILSOAR a Contract for each concerned company (or entity).
4.6 The information and/or documents referred to in Article 4.3 of the present General Sales Conditions (i.e., the Registration Data) must, throughout the duration of the Contract, be valid, exact and sincere.
Any modification, whatever its nature and/or scope, of any of the information contained in the documents referred to in Article 4.3 of the present General Terms and Conditions of Sale or in the header of the Subscription Form must be communicated in writing to MAILSOAR by the Client as soon as possible and at the latest fifteen (15) working days after the said modification. The Client may send this new information by e-mail to the following e-mail address: pierre@mailsoar.com.
5. Service(s) of Deliverability proposed by MAILSOAR
5.1 General presentation of the Service(s) of deliverability
MAILSOAR offers to its Clients Service(s) of Deliverability to accompany them in the improvement and optimization of their Emailing Campaigns.
The Service(s) of Deliverability proposed by MAILSOAR consist in three (3) main Services.
The Service Provider is bound to an obligation of means within the framework of each of these Services of Deliverability. Expressly, the Client accepts and recognizes that the Service Provider is not held to an obligation of result and renounces, in an irrevocable and final way, to claim that MAILSOAR would have been held, in any way, to any result in its respect and related to the deliverability of its Emailing Campaigns or to the achievement of its marketing objectives.
The Client accepts and recognizes that the Services of Deliverability proposed by MAILSOAR consist essentially in consulting, advice, and support Services.
In addition, the Client accepts and acknowledges that it subscribes to the Services proposed by MAILSOAR to accompany it in the realization of its Emailing Campaigns, which will be directly realized and implemented by the Client.
5.2 The Service of “Audit of Deliverability”
5.2.1 The Service of Audit of Deliverability consists in the carrying out and realization by MAILSOAR of an Audit of Deliverability of the Infrastructure(s) used by the Client within the framework of its Emailing Campaigns.
The Deliverability Audit Service comprises and includes:
the Analysis of the Client’s Infrastructure(s), according to the terms chosen by the Client in the Subscription Form signed with MAILSOAR.
The analysis of the Client’s Infrastructure(s) includes:
A technical analysis which consists of a verification of the authentications, a panel test and if necessary, any other test that may give additional information on the quality of the setup, the IP, the domain, and the technical dimension of the Infrastructure’s deliverability.
An analysis of the Client’s Data, which consists of an analysis and reprocessing of mailing statistics.
A content Analysis, which consists of an analysis of the most frequently sent content with regard to the correct reception of the message in the main mailbox.
Recommendations and implementation of an action plan for the improvement of the deliverability of the Client’s Emailing Campaigns: these recommendations are presented in the form of conclusions, recommendations, and a list of actions to be taken to implement each recommendation.
The Deliverability Audit Service does not and does not include:
the implementation of the recommendations.
the performance of extensive testing such as a study of the placement of e-mails from an entire transactional library (unless prior agreement is reached before the audit).
subscription to any third-party monitoring service. Or
any other service or action not explicitly mentioned.
The Deliverability Audit will be presented by MAILSOAR to the Client directly during a meeting and will be sent to him on digital support.
5.2.2 In order to benefit from the sending of the Audit of Deliverability by MAILSOAR, the Client must have previously proceeded the payment of the invoice(s) that will have been issued by MAILSOAR, according to the pricing agreed with the Client in the Contract.
The invoice(s) sent by MAILSOAR are payable according to the terms and conditions referred to in Article 6 of these General Terms and Conditions of Sale.
5.3 The “Implementation of recommendations” Service
5.3.1 The Recommendations Implementation Service mainly consists in assisting the Client in implementation the Recommendations resulting from the Audit of Deliverability as well as (if included in the Subscription Form) the creation of one or more new infrastructure(s) following the best practices established by the emailing industry standards.
The Recommendations Implementation Service comprises and includes:
Content enhancement: which consists of a review of the Client’s library and the emails sent. The Service Provider determines their placement and, if necessary, makes suggestions to modify their content to ensure an inboxing in the main mailbox.
Reputation enhancement: which consists of better organization of the Client’s mailings to send only to the most committed and valid emails in the Client’s database so that the reputation of the domain, IP, or both, rises to a level that allows good inboxing.
Program Improvement: which consists of improving the Client’s sending schedules in order to maximize mailings to contacts with a good level of engagement, while maximizing segment size without compromising deliverability.
Adjustment of the Client’s mailing practices: which consists of working with the Client’s teams to bring the Client’s mailing practices and KPIs in line with the Client’s industry standards, as well as the best practices recommended by ESPs, filters, blacklists & other email control entities.
If included in the Subscription Form: the creation of one or more infrastructure(s) to start sending emails following established best practices.
Recommendation Implementation Service does not and does not include:
Implementation of long term KPI monitoring tools.
5.3.2 The invoice(s) sent by the MAILSOAR Company are payable according to the terms and conditions referred to in Article 6 of the present General Terms and Conditions of Sale.
5.4 The “Support Service”
5.4.1 The Support Service mainly consists in assisting the Client in the implementation of its Emailing Campaigns
The Support Service comprises and includes:
Regular checks and monitoring of Key Performance Indicators (KPIs): The Service Provider implements tracking tools for placement, IP/domain reputation and authentication. The Service Provider tracks the performance of the Client’s Infrastructure and collects KPIs in a dashboard to monitor progress and identify trends before they become a threat to the Client’s Infrastructure.
Template Enhancement: The Service Provider is working to enhance the Client’s existing library as well as the new emails that need to be sent to ensure optimal placement across the entire base.
Client support, including troubleshooting deliverability issues, setting up a long-term strategy for maintaining and improving services and developing software tools to support and improve the emailing process: The Service Provider works with the Client to develop a short, medium- and long-term strategy to define objectives to be achieved and maintained. The Service Provider is available 24 hours a day, 7 days a week to intervene in emergencies that may arise.
The Accompaniment Service does not and does not include:
The service only includes the services mentioned above. Any new item, responsibility or project will have to be mutually agreed before becoming contractual.
5.4.2 The invoice(s) sent by MAILSOAR are payable according to the terms and conditions referred to in Article 6 of the present General Terms and Conditions of Sale.
6. Duration, Cost of Services and Payment
6.1. Liminary
The cost of each Service selected by the Client is indicated on the Subscription Form sent by MAILSOAR to the Client, at the Client’s request.
When the Service consists of a monthly package, the Subscription Form indicates the cost of the Service for each Service and the duration of the commitment.
When the Service does not consist of a monthly package, the Subscription Form indicates the cost of the package for the Service concerned.
The cost of the Services offered by MAILSOAR is indicated in €uros, exclusive of tax.
The cost of the Services is payable and due in €uros.
6.2. Duration
The Contract takes effect on the date it is signed by both Parties.
The Contract is concluded for the duration specified in the Subscription Form.
Unless otherwise agreed between the Parties in the Subscription Form, the duration is one (1) year, tacitly renewable.
The Contract may be concluded for a tacitly renewable monthly term.
In any event, when the Contract comes to an end, it is automatically renewed on identical terms for an identical duration, and so on, unless terminated by either Party in accordance with the terms and conditions hereinafter defined.
To terminate the Contract, the Party wishing to terminate it must send by registered mail with acknowledgement of receipt to the registered office of the other Party a notice of termination of the Contract (i) three (3) months prior to the expiry date (or anniversary date) of the Contract when the Contract has been entered into for a term of one (1) year (or longer) or (ii) thirty (30) calendar days prior to the expiry date (or anniversary date) of the Contract, when the Contract has been concluded for a duration of one (1) month (or a duration not exceeding one (1) year).
The date of dispatch of such termination, in accordance with the aforementioned terms and conditions, shall prevail between the Parties.
6.3 Terms of Payment of the cost of Services
Payment of the cost of each of the Services subscribed to by the Client shall be made by banking wire transfer (or via electronic process as PayPayl, TransferWise Stripe or through any other mean accepted among the Parties) upon receipt of the corresponding invoice and no later than fifteen (15) calendar days following receipt of the corresponding invoice by the Client. Invoices are sent to the customer by e-mail, in advance.
Each invoice shall mention the cost of the Services in euros exclusive of tax and the legally applicable Value Added Tax (VAT) or, where applicable, the exemption from which the Client benefits.
In the event a direct debit has been set up between the Parties, all costs related to a payment by the Client (or a refusal to pay / direct debit) shall be borne by the Client. In this respect, the Client undertakes to ensure that his bank account is always funded to settle the cost of the Services. In the event that, during the execution of the present Contract, a transaction is refused, for any reason whatsoever, the Client undertakes to reimburse all the costs which would come to be invoiced to MAILSOAR as well as all the costs linked to the refused payment.
MAILSOAR draws the attention of the Client to the fact that in the event a payment incident occurs (whatever its cause and/or its origin, which would not be imputable to MAILSOAR and which would result in the non-payment to MAILSOAR of a sum due under the terms of the Contract) and/or non-payment of an amount due under the Contract, MAILSOAR will be entitled to suspend the Service(s) to which the Client has subscribed under the terms of the Contract without the Client being able to invoke any prejudice of whatsoever nature against MAILSOAR.
Where the Client has chosen not to set up a direct debit, and in the event of repeated late payment by the Client, Société MAILSOAR shall be entitled to invoice the Customer a penalty for administrative costs generated internally as a result of said late payment and its consequences, in the amount of two and a half percent (2.5%) of the total cost excluding taxes for each invoice concerned.
MAILSOAR also draws the attention of the Client to the fact that the suspension of the Services may not constitute a termination of the Contract, as referred to in Article 9 of the present General Sales Conditions. Consequently, the Client accepts and acknowledges that MAILSOAR will be entitled to continue to invoice the monthly payments due under the Contract until its term (Support Service), it being the Client’s responsibility to regularize the incident at the origin of the suspension of the Service as soon as possible in order to obtain the lifting of the suspension the Service.
6.4 Invoicing and late penalties
Invoices issued by MAILSOAR shall be dematerialized and sent to the Client by email, either directly by MAILSOAR or by a Partner of MAILSOAR, also by e-mail. The invoices will be archived by MAILSOAR in compliance with the applicable regulations.
Unless expressly authorized by MAILSOAR, under no circumstances may the amounts due be subject to any reduction, whether by compensation, counterclaim, adjustment, or other intervention.
The Parties expressly accept that the electronic invoice(s) issued within the framework of the Contract shall take the place of the original invoice(s) in accordance with article 289 of the French General Tax Code. The Client expressly waives the right to contest the validity of electronic invoices drawn up in execution of the Contract and these General Terms and Conditions of Sale by the sole fact that these invoices have been drawn up and transmitted electronically.
The Client may request at any time that MAILSOAR sends him a paper invoice detailing the monthly payments paid and those to come under the Contract.
In accordance with the provisions of Article L.441-10 of the French Commercial Code, in the event of delay and/or non-payment, MAILSOAR may invoice the Client with late payment penalties fixed at a rate equal to the interest rate applied by the European Central Bank to its most recent refinancing operation increased by 10 percentage points, applicable to all sums due from the first day of delay and until their complete payment. A lump-sum compensation of forty (40) euros will also be payable.
7. Materiel /Immaterial resources provided by MAILSOAR
MAILSOAR does not provide the Client with any material or immaterial means or materials other than those possibly referred to in the description of each of the Services that it offers and to which the Client has subscribed.
MAILSOAR does not supply and/or provide the Client with any telephone installation, terminal equipment, software, or even a computer for the realization of its Emailing Campaigns. In this respect, the Client undertakes towards the Service Provider to have, at least during the whole duration of the Contract, the material and immaterial resources and means necessary for the good realization of its Emailing Campaigns.
All the costs of telephone connections and Internet access, or software or Infrastructure(s), of whatever nature, shall be borne by the Client.
8. Guarantees
8.1. MAILSOAR ‘s Guarantees
MAILSOAR does not grant the Client any guarantee other than those possibly mentioned in the present General Terms and Conditions of Sale.
By express agreement between the Parties, the obligations which weigh on MAILSOAR are obligations of means.
THE CLIENT ACCEPTS AND RECOGNIZES THAT THE SERVICES PROPOSED BY MAILSOAR ONLY INCLUDE SERVICES OF ASSISTANCE, SUPPORT AND ADVICE OF THE CLIENT IN THE IMPROVEMENT OF THE DELIVERABILITY OF ITS EMAILING CAMPAIGNS.
MAILSOAR does not guarantee to its Clients an improvement of the deliverability of their Emailing Campaigns or a result as for their Emailing Campaigns. MAILSOAR does not carry out Emailing Campaigns in the name and/or on behalf of its Clients.
Therefore, the Client accepts and recognizes that MAILSOAR does not guarantee him with any particular delay in the improvement or level of deliverability to be reached.
8.2. Collaboration and Guarantees of the Client
The Client undertakes to collaborate actively with MAILSOAR for the good execution of the Contract, in particular by allocating the necessary human and technical resources and by answering as soon as possible the questions, of whatever nature, which will have been submitted to it by the Service Provider. The Client also undertakes to provide the Service Provider, as soon as possible, with any information requested by the Service Provider in connection with the Services.
The Parties undertake to act at all times in good faith and to be transparent towards each other and to take all necessary steps (unless unreasonable or disproportionate) to ensure the proper performance of the Contract.
The Client assures and guarantees to MAILSOAR to have taken knowledge of and to be in conformity with the regulations applicable as regards the collection and processing of Third-Party Data, in particular as regards the Third-Party Data that it transmits and/or communicates and/or to which it gives access, in any manner whatsoever and on any support whatsoever, to the Service Provider within the framework of the Services. In particular, the Client guarantees MAILSOAR against any complaint, of any nature whatsoever, which would be formulated by a Third Party against MAILSOAR with regard to the Data that the Client transmits and/or communicates and/or to which it gives access to MAILSOAR within the framework of the Services and more generally, within the framework of the Contract.
In addition, the Client undertakes to always declare to MAILSOAR any anomaly, of any nature whatsoever, which would occur during the duration of the Contract within the framework of an Emailing Campaign in order to allow MAILSOAR to accompany it as well as possible within the framework of the Support Service (if the Client has subscribed to this specific Service).
9. Termination of the Contract
MAILSOAR may terminate the Contract at any time, ipso jure and with immediate effect, in the following cases:
the Client does not communicate to MAILSOAR all the information and/or documents referred to in Article 4 of the present General Terms and Conditions of Sale.
MAILSOAR has reasonable and/or legitimate doubts as to the accuracy and/or truthfulness of the information communicated by the Client within the framework of its registration (Article 4 of the present General Terms and Conditions of Sale).
the Client does not pay the sums due to MAILSOAR under the Contract and/or a direct debit is the subject of a payment incident (Article 6 of the present General Terms and Conditions of Sale).
the Client does not respect and/or repeatedly fails to fulfil its obligation of collaboration, as referred to in Article 8 of the present General Terms and Conditions of Sale.
the information and contents, and in a more general way the Data, of any nature, communicated by the Client and/or to which the Client gives access to the MAILSOAR Company are, by their nature, object and/or scope, immoral, contrary to good morals, to the law or the regulation in force and/or to the public order.
For the needs of the present, are considered by MAILSOAR as immoral and/or contrary to good morals, in particular, the information and contents, of any nature whatsoever, which are threatening, insulting, odious, racist, homophobic, counterfeiting, false, pornographic, violent, offensive, indecent, obscene, aggressive or defamatory. This list is not exhaustive.
the Client infringes, in any way whatsoever, the rights, of whatever nature, of MAILSOAR, a Partner and/or Third-Party.
the Client uses, by whatever means, the Services proposed by the MAILSOAR Company, for immoral purposes, contrary to good morals, contrary to public order, to the law and/or to the general economy of the Contract.
the Client does not present or no longer has the necessary and specific competences for the execution of the Contract, either because it manifests a systematic opposition to the advice and Services provided by MAILSOAR, or because it refuses to follow and/or provide the instructions and/or information, of any nature whatsoever, necessary for the execution of the Contract.
MAILSOAR notes any act of piracy, fraud, or non-respect of the ethical, legal, or moral rules, imputable to the Client.
the Client is the subject of legal proceedings (and, in particular, criminal) on behalf of judicial and/or administrative authorities within the framework of its activity.
the Client is subject to a proceeding within the meaning of Book n°VI of the French Commercial Code.
The termination of the Contract on the part of MAILSOAR for any of the aforementioned reasons may result from the sole non-performance or failure, total or partial, of the Client to fulfil any of the aforementioned obligations.
In such a case, the Parties accept and agree in advance that MAILSOAR will not have to send the Client a prior formal notice. MAILSOAR will send to the Client, by e-mail, a notice of termination giving the reasons that led it to terminate the Contract. The termination will be deemed effective on the first day following the sending of the said e-mail by the Company MAILSOAR.
The Client whose Contract would be the object of such a termination, for one of the aforementioned reasons, accepts and acknowledges that it will automatically have to pay to the Company the totality of the sums remaining due to the MAILSOAR Company under the Contract and for the remaining duration of the Contract.
These stipulations do not prevent the Service Provider from taking any legal action against the Client that it deems necessary in order to obtain full compensation for all damages, of any nature whatsoever, that it may have suffered and/or will suffer as a result of and/or that is linked, directly and/or indirectly, to the actions of the said Client. MAILSOAR is free to exercise all the legal remedies of which it is the holder in order to obtain the compensation of all the damages, of whatever nature, direct and/or indirect, that it would suffer or would have suffered because of any failure and/or non-performance of the Client to any of the obligations stipulated in the Contract and/or any act of the Client which would be contrary to good morals, to the law or to the public order which would have been carried out by the Client within the framework of the Contract and/or through its use of the Services proposed by MAILSOAR.
In addition, it is expressly agreed and accepted between the Parties that the Contract is for a fixed term and may under no circumstances be terminated by the Client before its term, except in the event of a particularly serious and justified fault on the part of MAILSOAR. The Client expressly authorizes MAILSOAR to invoice and deduct from the Client’s bank account the full cost of the Services remaining under the Contract in the event of non-compliance by the Customer with this paragraph.
Except in the event of termination of the Agreement by the Customer in accordance with the aforementioned conditions, due to a particularly serious and justified fault on the part of MAILSOAR, all amounts due under the Agreement are payable to MAILSOAR until the end of the term agreed between the Parties.
10. Major Strength/ Force Majeure
Neither of the Parties may be held liable for non-performance of one of its contractual obligations due to the occurrence of a case of force majeure. Are cases of force majeure – in addition to those usually retained by the French courts – strikes, supply disruptions, fires, earthquakes, floods, wars, acts of terrorism or any other unforeseeable, irresistible, and external element are considered to be cases of force majeure.
If the impediment is temporary, performance of the obligation is suspended unless the resulting delay justifies termination of the Contract. If the impediment is permanent, the Contract shall be terminated by operation of law and the parties shall be released from their obligations under the conditions provided for in articles 1351 and 1351-1 of the Civil Code.
For the purposes hereof, the Parties accept and acknowledge that the Services may be performed remotely. Consequently, in the event that, because of an epidemic or pandemic, the government (or authority(ies)) of the French Republic (or that of the Client) would be led to take local or national measures intended in particular to limit the freedom of movement of individuals because of an epidemic and/or pandemic in the territory where the premises of MAILSOAR or of the Client are located, the Contract cannot be terminated for reasons of force majeure, the essential part of the Services being able to be carried out remotely.
In such a hypothesis, the Parties will make every effort to adapt as well as possible the realization of the Services.
11. Intellectual property
The Client assures and guarantees to MAILSOAR that all information and Data, whatever their nature and/or their support, that it transmits and/or communicates to MAILSOAR and/or to which it gives access to MAILSOAR within the framework of the Contract are valid, exact, sincere.
The Client assures and guarantees to MAILSOAR that it has full and entire ownership and/or all the necessary rights and/or authorizations, whatever their nature, and in particular, but not limited to, administrative, conventional, legal and/or regulatory regarding the information and Data it transmits and/or communicates and/or to which it gives access to MAILSOAR for the good realization of the Services as well as to, if necessary, their possible treatment by MAILSOAR for the needs of the Contract. In the event that this guarantee should be modified or affected, in any way whatsoever, during the execution of the Contract, the Client undertakes to inform MAILSOAR as soon as possible, in writing, at the email address: pierre@mailsoar.com.
In any event, the Client assures and guarantees to MAILSOAR that it is aware of and complies with the regulations applicable to the collection and processing of Third-Party Data, in particular with regard to the Third-Party Data that it transmits and/or communicates and/or to which it gives access to the Service Provider within the framework of the Services.
The Client guarantees MAILSOAR against any complaint, of any nature whatsoever, which would be formulated by a Third Party against MAILSOAR as regards the Data that it transmits and/or communicates and/or to which it gives access to MAILSOAR within the framework of the Services.
The Client is solely responsible for the Data that it communicates to MAILSOAR and/or to which it gives access to MAILSOAR.
Any failure by the Client to comply with any of the aforementioned commitments may lead to the termination of the Contract according to the terms and conditions of Article 9 of these General Terms and Conditions of Sale.
In no case the transfer or the access given by the Client to MAILSOAR in relation to the Data shall imply and/or be interpreted as a transfer of rights, of any nature whatsoever, from the Client to MAILSOAR in relation to the Data concerned. MAILSOAR accepts and acknowledges that it is not the holder of any right regarding these Data, other than those which are possibly conferred to it by the Client, for the sole needs of the realization of the Services object of the Contract. In this respect, MAILSOAR commits itself in a firm and irrevocable way to use the Data communicated by the Client and/or to which it will be given access by the Client only for the needs of the realization of the Services object of the Contract. MAILSOAR undertakes in a firm and irrevocable way not to yield and/or transfer, on a purely free and/or expensive basis, completely or partially, the Data which will be communicated to it and/or to which it will be given access by the Client within the framework of the Contract.
12. Confidentiality
The Contract and all the information which will be exchanged between the Parties within the framework of its execution are and will remain confidential during all the duration of the Contract and after its expiry and/or its cancellation, whatever the cause, except for the good realization of the Services to which the Client has subscribed with MAILSOAR or the exercise of the respective rights of each of the Parties, within the framework of a litigation which could oppose them.
Under these circumstances, the Parties accept, recognize and guarantee each other that all the Confidential Information’s and/or exchanges which will be communicated and/or carried out and/or to which it will be given access between them are and will remain covered by the strict confidentiality.
For the purposes of this Article:
” Recipient “: means the Party receiving the information.
” Discloser “: means the Party which communicates the Information.
” Confidential Information “: means Data and/or information owned or possessed by either Party, which is not in the public domain or has not yet been disclosed in tangible or intangible form, regardless of the manner and circumstances of its communication, including, in particular, the following information:
(i) information, inventions, designs, processes, procedures, formulae, improvements, technologies or methods.
(ii) samples, reports, data, know-how, work in progress, models, drawings/plans, photographs, development tools, specifications, software, source code, object code, flow charts and databases.
(iii) marketing strategies, plans, documentation and financial information or projections, operations, sales estimates, business plans and performance results relating to the past, present or future business activity of either Party and its related entities or subsidiaries.
(iv) trade secrets; plans relating to products or services and lists of Clients or suppliers.
“Party” means either the Recipient or the Discloser.
Each Party undertakes to:
– not to disclose the Confidential Information, directly or indirectly, to a Third-Party.
– not to use the Confidential Information for purposes other than within the framework of the Contract.
– not to use the Confidential Information for its own account or by any person acting on its behalf in the context of a competing activity.
– not to fail to inform its staff and employees of the confidential nature of the Confidential Information and of the obligations and precautions which result from this.
The duration of this Confidentiality undertaking is five (5) years from the signing of the Contract.
The Recipient shall return or destroy as soon as possible and without exceeding one (1) month, all Confidential Information, and copies thereof (reproduced or stored on any medium whatsoever), including all notes and all documents derived from the Confidential Information communicated under the Contract, on (i) the date of the expiry or termination of the Contract or (ii) any date on which the Discloser requests the Recipient to do so, whichever is the earliest.
13. Generals Stipulations
13.1 Subcontracting
MAILSOAR is entitled to subcontract all or part of its obligations under this Contract, to the Partner(s) of its choice for the performance of services other than the Services of Deliverability (for example, MAILSOAR may have recourse to a Partner for the sending of invoices and the collection of the sums due to it). With regard to the performance of the Services of Deliverability, MAILSOAR may only subcontract all or part of the said Services with the prior written consent of the Client.
13.2 Transfer
The Contract is concluded in consideration of the person of the signatory Client and cannot therefore be the subject of an assignment and/or transmission, free of charge or against payment, partial and/or total, on behalf of a Third Party without the prior written agreement of MAILSOAR. Any assignment or transfer, whatever its denomination and/or scope, direct or indirect, total or partial, carried out in violation of the stipulations of the present Article shall be null and void.
13.3 Notification / Election of domicile
All notifications, formal notices and, in general, all correspondence, of any nature whatsoever, relating to the interpretation, validity, performance and/or termination of the Contract must be sent by e-mail to the other Party at the e-mail addresses communicated at the time of signing the Contract, except in cases where it is expressly stated that sending a registered letter with acknowledgement of receipt is necessary.
13.4 Modification of the terms and Conditions of the present/these Generals Conditions
The Client accepts and recognizes that the General Terms and Conditions are likely to evolve and be modified unilaterally and at any time by MAILSOAR, in particular for the needs of the Services which it proposes to its Clients or in order to improve and/or supplement the Services and/or to respect the law and the regulations in force.
Each last version of the General Conditions will be sent to the Client by e-mail. These new General Conditions of Use will be deemed to have been received the day after the sending of the said e-mail by the Company MAILSOAR. Without written return of the Client indicating to MAILSOAR Company that it refuses the new version of the General Conditions within one (1) month from the reception of the said e-mail, the Client will be considered to have accepted the new version of the General Terms and Conditions, which will then apply as from this date of acceptance.
The Client accepts and acknowledges that in the event it refuses the terms of the new General Terms and Conditions, the Contract may be terminated by MAILSOAR by operation of law in accordance with the terms and conditions set out in Article 9 of these General Terms and Conditions and, notwithstanding the provisions of the said article, no sum shall be due by the Client to the Company, the termination taking effect on the date of the Client’s refusal.
13.5 Non-Waiver
The fact that either of the Parties does not take advantage of a failure by the other Party of any of its obligations under the Contract shall not be interpreted as a waiver of the obligation in question.
13.6 Partial Invalidity
If any provision(s) of the Contract is (or are) held to be illegal, invalid, unenforceable, or invalid, void or considered as such under any law, regulation or court decision which has become final, it (they) shall be deemed to be unwritten and the other provision(s) shall remain in full force and effect.
In this event, the Parties shall make every effort to replace the cancelled clause in good faith with a lawful stipulation with a similar object and effect.
13.7 Titles
The titles of the articles of the Contract are for information purposes only and do not allow for interpretation of the content of the related stipulations under the Contract and/or these General Terms and Conditions of Use.
13.8 Independence of the Parties
The Contract shall not create any dependency and/or subordination between the Parties. Neither of the Parties may claim vis-à-vis third parties that it has the power to represent the other Party. Each of the Parties shall remain independent under the terms of the Contract.
13.9 Applicable law and Attribution of Competence
The Contract is subject to French law.
ANY DISPUTE AND/OR LITIGATION RELATING TO THE VALIDITY, INTERPRETATION, EXECUTION AND/OR TERMINATION OF THE CONTRACT SHALL BE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE COMPETENT COURTS WITHIN THE JURISDICTION OF THE COMPETENT TRIBUNALS OR COURTS LOCATED IN THE AREA OF THE REGISTERED OFFICE OF MAILSOAR, NOTWITHSTANDING PLURALITY OF DEFENDANTS, INCIDENTAL CLAIM, WARRANTY CLAIMS, EMERGENCY PROCEEDINGS, BY INTERIM RELIEF OR BY PETITION.
Les présentes Conditions Générales de Vente font partie intégrante du Contrat conclu entre la société MAILSOAR, société à responsabilité limitée (à associé unique), au capital de 10.000 euros, immatriculée au Registre de Commerce et des Sociétés de Lyon sous le numéro RCS 884 139 544, dont le siège est 558 Chemin du Panorama, 69300, Caluire-et-Cuire, France (ci-après le « Prestataire » ou la « Société MAILSOAR » ; numéro SIRET : 884 139 544 00016 / numéro de TVA intracommunautaire : FR10884139544) et le Client (ci-après le « Client »).
La Société MAILSOAR est spécialisée dans l’assistance, le conseil et l’accompagnement de ses Clients dans le domaine informatique et plus particulièrement dans l’assistance, le conseil et l’accompagnement de ses Clients dans la mise en place et la réalisation de leurs Campagnes Emailing et de la délivrabilité desdites Campagnes Emailing.
Le Client a pu avoir accès à l’ensemble des informations qu’il estime nécessaire, notamment relatives aux Services proposés et fournis par la Société MAILSOAR ainsi qu’à leur coût. Le Client confirme être seul responsable de l’adéquation des Services proposés par la Société MAILSOAR à ses besoins. En tout état de cause, le Client reconnaît que les Service proposés par la Société MAILSOAR correspondent et sont en adéquation avec ses besoins et attentes.
Les présentes Conditions Générales de Vente s’appliquent pendant toute la durée du Contrat conclu entre la Société MAILSOAR et le Client.
1. Documents contractuels
Le Contrat est composé des documents suivants par ordre hiérarchique décroissant :
Le Devis aux Services de Délivrabilité adressé par la Société MAILSOAR à la demande du Client et signé par le Client ;
Les présentes Conditions Générales de Vente de la Société MAILSOAR ;
Les documents énumérés ci-dessus constituent l’intégralité de l’accord entre les Parties (c’est-à-dire le Contrat), eu égard à l’objet du Contrat et remplacent et annulent toutes déclarations, négociations, engagements, communications orales ou écrites, acceptations, et accords préalables entre les Parties, relativement au même objet.
Le Contrat prévaut sur tout autre document et notamment sur les documents du Client, ce inclus ses éventuelles conditions d’achat.
Le Contrat ne pourra être modifié que par voie d’avenant écrit et signé entre les Parties par un représentant dûment habilité sauf dans les cas expressément visés à l’Article 13.4 des présentes Conditions Générales de Vente.
Une référence à un document, une norme, une disposition législative, code ou tout autre document implique toute modification ou mise à jour de ce document, norme, disposition législative ou code.
2. Définitions
2.1 Pour les besoins des présentes Conditions Générales de Vente, tous les termes commençant par une majuscule (qu’ils soient au singulier ou au pluriel) et qui figurent dans les présentes Conditions Générales de Vente, et d’une manière plus générale dans le Contrat, ont la définition suivante :
« Campagne(s) Emailing » désigne les campagnes emailing réalisées par le Client.
« Conditions Générales de Vente » ou « CGV » désigne les présentes conditions générales de Vente de la Société MAILSOAR relatives aux Services de Délivrabilité.
« Client(s) » désigne un (ou, le cas échéant, plusieurs) Client(s) de la Société MAILSOAR. Un Client est une personne physique ou une personne morale qui a signé, pour les besoins de son activité, un Contrat avec la Société MAILSOAR.
« Donnée(s) » désigne tout type de données et/ou informations, de quelque nature que ce soit, qui sont transmises et/ou communiquées, par quelque moyen que ce soit et/ou auxquelles l’une des Parties donne accès à l’autre Partie, sur quelque support que ce soit, dans le cadre du Contrat pour les besoins de la réalisation des Services.
« Devis » désigne le devis qui est envoyé par la Société MAILSOAR au Client, à la demande du Client.
« Infrastructure » désigne un logiciel utilisé par le Client pour les besoins de ses Campagnes Emailing.
« Partenaire(s) » désigne toute entité partenaire ou prestataire de la Société MAILSOAR intervenant dans le cadre du Contrat, de quelque manière que ce soit, notamment pour des besoins techniques et/ou opérationnels, aux côtés de la Société MAILSOAR.
« Service(s) » ou « Service(s) de Délivrabilité » désigne l’ensemble des prestations de services fournies par la Société MAILSOAR au titre du Contrat. Ces prestations sont fonctions des Service(s) sélectionné(s) par le Client. Les Services sont notamment visés à l’Article 5 des présentes Conditions Générales de Vente.
« Société MAILSOAR » ou « Prestataire » désigne la société MAILSOAR, société à responsabilité limitée (à associé unique), au capital de 10.000 euros, immatriculée au Registre de Commerce et des Sociétés de Lyon sous le numéro RCS 884 139 544, dont le siège est 558 Chemin du Panorama, 69300, Caluire-et-Cuire, France.
« Tiers » désigne toute personne autre le Prestataire et/ou le Client
3. Objet des présentes Conditions Générales de Vente
Les présentes Conditions Générales de Vente ont pour objet de définir les droits et obligations des Parties au titre du Contrat ainsi que les modalités d’exécution du Contrat.
4. Liminaire
4.1 Le Client accepte et reconnaît que le Devis lui a été adressé par la Société MAILSOAR à sa demande et que les Services qui y sont visés, pour la durée indiquée et leur coût correspondent aux Services qu’il a sélectionnés après s’être entretenu avec la Société MAILSOAR.
Le Client reconnaît avoir eu communication du Contrat dans sa totalité préalablement à sa signature et notamment des présentes Conditions Générales de Vente de la Société MAILSOAR.
4.2 Le Client signe le Contrat via une procédure électronique mise en place par la Société MAILSOAR ou à distance par l’échange de courriels.
A ce titre, Les Parties reconnaissent que tous les documents échangés entre elles et signés par voie électronique ou par échange de courriels feront foi entre elles, au même titre que des exemplaires papiers signés et échangés de façon manuscrite.
Les Parties reconnaissent que le procédé technique de signature électronique mis en œuvre permet de garantir et constituer la preuve de : (i) l’identification du signataire du document, (ii) la préservation de l’intégrité de son contenu, (iii) la préservation de la confidentialité des Données et contenus et (iv) l’horodatage des envois et de réception.
Les Parties renoncent expressément à contester la recevabilité, la validité et la force probante de la signature électronique. Elles reconnaissent également que les documents signés par voie électronique seront admis comme originaux devant les tribunaux et feront la preuve des contenus qu’ils contiennent, preuve recevable, valable et opposable entre les Parties, de la même manière, dans les mêmes conditions et avec la même force probante qu’un document qui revêt une signature manuscrite, conformément aux articles 1366 à 1368 du Code civil.
Le certificat de signature électronique se trouve à disposition des Parties, et en tout état de cause, sur simple demande écrite du Client.
Les Parties peuvent également signer le Contrat sur format papier.
4.3 En signant un Contrat avec la Société MAILSOAR, afin de pouvoir bénéficier du (ou des) Service(s) de Délivrabilité au(x)quel(s) le Client souscrit, le Client s’engage à renseigner et/ou remettre lors de la signature du Contrat et/ou à adresser à la Société MAILSOAR (par courriel), au plus tard dans les huit (8) jours qui suivent la conclusion du Contrat (ci-après les « Données d’Inscription ») :
Un extrait Kbis de la personne morale signataire (ou l’équivalent lorsque le Client est une société de droit étranger ou une personne physique) ; et
un relevé d’identité bancaire et l’autorisation de prélèvement SEPA, lorsqu’un prélèvement automatique a été mis place entre la Société et le Client dans le cadre du Contrat.
4.4 Le Client accepte et reconnaît que la Société MAILSOAR est en droit de refuser de faire bénéficier le Client de(s) Service(s) de Délivrabilité qu’elle propose et qui est (ou sont) l’objet du Contrat signé même si ce dernier lui a adressés tous les documents susvisés, notamment dans l’hypothèse où la Société MAILSOAR a des doutes raisonnables et/ou légitimes quant à l’exactitude et/ou la véracité des informations communiquées par le Client dans le cadre de sa souscription au(x) Service(s) de Délivrabilité et notamment eu égard à son identité et/ou à ses droits sur les Données objets du Contrat. Dans une telle hypothèse, la Société MAILSOAR pourra résilier le Contrat selon les modalités et dans les conditions de l’Article 9 des présentes Conditions Générales de Vente.
4.5 Dans l’hypothèse où le Client souhaite bénéficier de Services de Délivrabilité proposés par la Société MAILSOAR pour plusieurs sociétés (ou entités), le Client devra conclure avec la Société MAILSOAR un Contrat pour chaque société (ou entité) concernée.
4.6 Les informations et/ou documents visés à l’Article 4.3 des présentes Conditions Générales de Vente (i.e. les Données d’Inscription) doivent, pendant toute la durée du Contrat, être valides, exacts et sincères.
Toute modification, quelle que soit sa nature et/ou portée, de l’une quelconque des informations contenues dans les documents visés à l’Article 4.3 des présentes Conditions Générales de Vente ou en entête du Devis doit être communiquée par écrit à la Société MAILSOAR par le Client dans les plus brefs délais et au plus quinze (15) jours ouvrés après ladite modification. Le Client peut adresser ces nouvelles informations par courriel électronique à l’adresse email : pierre@mailsoar.com.
5. Le(s) Service(s) Délivrabilité proposé(s) par la Société MAILSOAR
5.1 Présentation des Services de Délivrabilité
La Société MAILSOAR propose à ses Clients des Services de Délivrabilité afin de les accompagner dans l’amélioration et l’optimisation de leurs Compagnes Emailing.
Les Services de Délivrabilité proposés par la Société MAILSOAR se décomposent en trois (3) Services principaux.
Le Prestataire est tenu à une obligation de moyens dans le cadre de chacun des Services de Délivrabilité. De manière expresse, le Client accepte et reconnait que le Prestataire n’est pas tenu à une obligation de résultat et renonce, de manière irrévocable et définitive, à prétendre que la Société MAILSOAR aurait été tenue, de quelque manière que ce soit, à un quelconque résultat à son égard, notamment lié à la délivrabilité de ses Campagnes Emailing ou encore à l’accomplissement de ses objectifs marketings.
Le Client accepte et reconnaît que les Services de Délivrabilité proposés par la Société MAILSOAR consistent essentiellement en des Services de conseil et d’accompagnement.
Au surplus, le Client accepte et reconnaît qu’il souscrit aux Services proposés par la Société MAILSOAR afin de l’accompagner dans la réalisation de ses Campagnes Emailing, lesquelles seront directement réalisées par le Client.
5.2 Le Service « Audit de Délivrabilité »
5.2.1 Le Service Audit de Délivrabilité consiste en la réalisation par la Société MAILSOAR d’un Audit de Délivrabilité de la (ou des) Infrastructure(s) utilisées par le Client dans le cadre de ses Campagnes Emailing.
Le Service Audit de Délivrabilité comprend et inclut :
Analyse de la (ou des) Infrastructure(s) du Client, en fonction des modalités retenues par le Client dans le Devis signé avec la Société MAILSOAR ;
L’analyse de la (ou des) Infrastructure(s) du Client comprend :
Une analyse technique laquelle consiste en une vérification des authentifications, un test de panel, le cas échéant, tout autre test pouvant donner des informations complémentaires sur la qualité du setup, de l’IP, du domaine et de la dimension technique de la délivrabilité ;
Une analyse des Données du Client laquelle consiste en une analyse et un retraitement des statistiques d’envois ;
Une Analyse du Contenu laquelle consiste en une analyse des contenus les plus envoyés au regard de la bonne réception en boite principale du message ;
Recommandations et réalisation d’un plan d’action pour l’amélioration de la délivrabilité des Campagnes Emailing du Client : ces recommandations sont présentées sous la forme de conclusions, de recommandations et d’une liste d’actions à mettre en œuvre pour implémenter chaque recommandation.
Le Service Audit de Délivrabilité ne comprend pas et n’inclut pas :
l’implémentation des recommandations ;
la réalisation de tests extensifs comme une étude du placement des e-mails d’une librairie transactionnelle entière (sauf un accord préalable avant Audit) ;
de souscription à un service de monitoring tierce quelconque ; ou encore
tout autre service ou action non mentionnée explicitement.
L’Audit de Délivrabilité sera présenté par la Société MAILSOAR au Client directement lors d’un rendez-vous et lui sera adressé sur support numérique.
5.2.2 Afin de bénéficier de l’envoi de l’Audit de Délivrabilité par la Société MAILSOAR, le Client devra s’être préalablement acquitté du règlement de la (ou des) facture(s) qui auront été émises par la Société MAILSOAR, selon le tarif convenu avec le Client dans le Contrat.
La (ou les) facture(s) envoyées par la Société MAILSOAR sont payables selon les conditions est modalités visées à l’Article 6 des présentes Conditions Générales de Vente.
5.3 Le Service « Implémentation des Recommandations »
5.3.1 Le Service Implémentation des Recommandations consiste principalement en l’accompagnement du Client dans la mise en place des Recommandations issues de l’Audit de Délivrabilité ainsi que (si inclus dans le Devis) la création d’une ou plusieurs nouvelle(s) infrastructure(s) suivant les bonnes pratiques établies par les standards de l’industrie de l’emailing.
Le Service Implémentation des Recommandations comprend et inclut :
Amélioration du contenu, laquelle consiste en une revue de la librairie du Client et des e-mails envoyés. Le Prestataire détermine leur placement et si besoin, procède à des suggestions afin de modifier leur contenu pour garantir un inboxing en boite mail principal ;
Amélioration de la réputation : laquelle consiste en une meilleure organisations des envois du Client pour n’envoyer qu’aux plus engagés et aux emails valides de la base de données du Client afin que la réputation de domaine, d’IP, ou des deux remonte à un niveau permettant un bon inboxing ;
Amélioration du programme : laquelle consiste en une amélioration des plannings d’envoi du Client afin de maximiser les envois sur des contacts ayant un bon niveau d’engagement, tout en maximisant la taille des segments sans compromettre la délivrabilité ;
Ajustement des pratiques d’envoi du Client : laquelle consiste dans un accompagnement avec les équipes du Client pour accorder les pratiques du Client et KPIs aux standards de l’industrie du Client, ainsi qu’au bonne pratiques recommandée par les ESP, filtres, blacklist & autre entités de control des emails ;
Si inclus dans le Devis : la création d’une ou plusieurs infrastructures pour démarrer l’envoi d’emails en suivant les bonnes pratiques établies.
Le Service Implémentation des Recommandations ne comprend pas et n’inclut pas :
De mise en place d’outil de monitoring des KPI long terme
5.3.2 La (ou les) facture(s) envoyées par la Société MAILSOAR sont payables selon les conditions est modalités visées à l’Article 6 des présentes CGV.
5.4 Le Service « Accompagnement »
5.4.1 Le Service Accompagnement consiste principalement en l’accompagnement du Client dans la réalisation de ses Campagnes Emailing.
Le Service Accompagnement comprend et inclut :
Vérifications régulières et suivi des indicateurs clés de performance (KPIs) : le Prestataire met en place des outils de tracking que ce soit pour le placement, la réputation de l’IP/domaine ainsi que le passage des authentifications. Le Prestataire traque les performances des Infrastructures du Client et rassemble les KPIs dans un tableau de bord afin de suivre les progrès et de pouvoir repérer les tendances avant qu’elles ne deviennent une menace pour l’Infrastructure du Client ;
Amélioration des modèles : le Prestataire travaille à l’amélioration de la librairie existante du Client ainsi que des nouveaux e-mails qui doivent être envoyés pour s’assurer un placement optimal sur toute la base ;
Assistance du Client et notamment, troubleshooting des problèmes de Délivrabilité, mise en place d’une stratégie long terme pour le maintien et l’amélioration des services et développement d’outils logiciel pour l’assistance et l’amélioration du processus d’emailing : le Prestataire élabore aux côtés du Client une stratégie à court moyen et long terme pour définir des objectifs à atteindre et à maintenir. Le Prestataire est disponible, 24/24 7/7 pour intervenir sur les urgences pouvant arriver ;
Le Service Accompagnement ne comprend pas et n’inclut pas :
Le service n’inclut que les services mentionnés ci-dessus. Tout nouvel item, responsabilité ou projet devrai faire l’objet d’un accord commun avant de devenir contractuel.
5.4.2 La (ou les) facture(s) envoyées par la Société MAILSOAR sont payables selon les conditions est modalités visées à l’Article 6 des présentes CGV.
6. Durée, Coût des Services et Paiement
6.1. Liminaire
Le coût de chaque Service sélectionné par le Client est indiqué sur le Devis envoyé par la Société MAILSOAR au Client, à la demande du Client.
Lorsque le Service consiste en un forfait mensuel, le Devis indique le coût du Service pour chaque Service ainsi que la durée d’engagement.
Lorsque le Service ne consiste pas en un forfait mensuel, le Devis indique le coût du forfait pour le Service concerné.
Le coût des Services proposés par la Société MAILSOAR sont indiqués en euros Hors Taxes.
Le coût des Services est payable et du en euros.
6.2. Durée
Le Contrat prend effet à la date de sa signature par les Parties.
Le Contrat est conclu pour la durée qui est mentionnée sur le Devis.
Sauf s’il est en convenu autrement entre les Parties dans le Devis, la durée est d’une (1) année, tacitement reconductible.
Le Contrat peut être conclu pour une durée mensuelle, tacitement reconductible.
En tout état de cause, lorsque le Contrat arrive à son terme, le Contrat est automatiquement renouvelé en des termes identiques pour une durée identique, et ainsi de suite, sauf dénonciation par l’une ou l’autre des Parties.
Pour dénoncer le Contrat, la Partie souhaitant y mettre un terme devra adresser par courrier recommandé avec accusé de réception au siège social de l’autre Partie une dénonciation du Contrat (i) trois (3) mois avant l’arrivée à son terme (ou la date anniversaire) du Contrat lorsque le Contrat a été conclu pour une durée d’une (1) année (ou une durée supérieure) ou (ii) trente (30) jours calendaires avant l’arrivée à son terme (ou la date anniversaire) du Contrat, lorsque le Contrat a été conclu pour une durée d’un (1) mois (ou une durée n’excédant pas une (1) année).
La date d’envoi de cette dénonciation, selon les modalités susvisées, fait foi entre les Parties.
6.3. Modalités de Règlement du coût des Services
Le règlement du coût de chacun des Services souscrits par le Client se fait par virement bancaire (ou par paiement électronique via PayPal, TransferWise, Stripe ou autre moyen convenu entre les Parties) à réception de la facture correspondante et au plus tard dans les quinze (15) jours calendaires qui suivent la réception de la facture par le Client. Les factures sont adressées au Client par email, terme à échoir.
Chaque facture mentionne le coût des Services en euros Hors Taxes et la Taxe sur la Valeur Ajoutée (TVA) légalement applicable ou, le cas échéant, l’exonération dont bénéfice le Client.
Dans le cas où un prélèvement automatique a été mis en place entre les Parties, tous les frais liés à un paiement de la part du Client (ou à un refus de paiement / prélèvement) sont à la charge du Client. A cet égard, le Client s’engage à ce que son compte bancaire soit toujours approvisionné pour les besoins du règlement du coût des Services. Dans l’hypothèse où, dans le cadre du présent Contrat, une transaction est refusée, et ce, pour n’importe quel motif, le Client s’engage à rembourser tous les frais qui viendraient à être facturés à la Société MAILSOAR ainsi que tous les frais liés au paiement refusé.
La Société MAILSOAR appelle l’attention du Client sur le fait qu’en cas d’incident de paiement (quelle que soit sa cause et/ou son origine, qui serait non imputable à la Société MAILSOAR et qui aboutirait au non-encaissement par la Société MAILSOAR d’une somme due au titre du Contrat) et/ou de non-règlement d’un montant dû au titre du Contrat, la Société MAILSOAR sera en droit de suspendre le(s) Service(s) auxquels le Client a souscrit(s) au titre du Contrat sans que le Client ne puisse invoquer un quelconque préjudice à l’encontre de la Société MAILSOAR.
Lorsque le Client a choisi de ne pas mettre en place un prélèvement automatique, et en cas de retard de paiement répétés de la part du Client, la Société MAILSOAR sera en droit de facturer au Client une pénalité au titre des frais administratifs générés en interne du fait desdits retards de paiement et de ses conséquences, d’un montant de deux et demi pourcent (2,5%) du coût total Hors Taxes pour chaque facture concernée.
La Société MAILSOAR appelle également l’attention du Client sur le fait que la suspension des Services n’équivaut pas à une résiliation du Contrat, telle qu’elle est visée à l’Article 9 des présentes Conditions Générales de Vente. En conséquence, le Client accepte et reconnaît que la Société MAILSOAR sera en droit de continuer à lui facturer les mensualités dues au titre du Contrat jusqu’à son terme (Service Accompagnement), à charge pour le Client de régulariser l’incident à l’origine de la suspension du Service dans les plus brefs délais afin d’obtenir la levée de la suspension des services par la Société MAILSOAR.
6.4. Facturation et pénalités de retard
Les factures émises par la Société MAILSOAR seront dématérialisées et adressées par courriel au Client, soit directement par la Société MAILSOAR soit par un Partenaire de la Société MAILSOAR. Les factures seront archivées par la Société MAILSOAR dans le respect de la réglementation en vigueur.
Sauf autorisation expresse de la Société MAILSOAR, en aucun cas les montants dus ne pourront faire l’objet d’une quelconque réduction, que ce soit par compensation, contre-réclamation, ajustement ou autre intervention.
Les Parties acceptent expressément que la (ou les) facture(s) électronique(s) émise(s) dans le cadre du Contrat tienne(nt) lieu de facture(s) d’origine conformément à l’article 289 du Code Général des Impôts. Le Client renonce expressément au droit de contester la validité des factures électronique signées établies en application du Contrat et des présentes Conditions Générales de Vente du seul fait que ces factures ont été établies et transmises par voie électronique.
Le Client peut solliciter à tout moment que la Société MAILSOAR lui adresse une facture sur support papier détaillant les mensualités et coûts réglés ainsi que celles(eux) à venir au titre du Contrat.
Conformément aux dispositions de l’article L.441-10 du Code de commerce, en cas de retard et/ou de défaut de paiement, la Société MAILSOAR pourra facturer au Client des pénalités de retard fixés à un taux égal au taux d’intérêt appliqué par la Banque centrale européenne à son opération de refinancement la plus récente majoré de 10 points de pourcentage, applicable à toutes les sommes dues dès le premier jour de retard et jusqu’à leur complet règlement. Une indemnité forfaitaire de quarante (40) euros sera également exigible.
7. Moyens matériels / immatériels fournis par la Société MAILSOAR
La Société MAILSOAR ne met à disposition du Client aucun moyen matériel ou immatériel autre que ceux éventuellement visés dans la description de chacun des Services qu’elle propose et au(x)quel(s) le Client a souscrit(s).
Notamment, la Société MAILSOAR ne fournit et/ou ne met à disposition du Client aucune installation téléphonique, équipement terminal, logiciel, ou encore un ordinateur pour la réalisation de ses Campagnes Emailing. A cet égard, le Client s’engage envers le Prestataire à disposer, au minimum pendant toute la durée du Contrat, des ressources matérielles et immatérielles nécessaires à la bonne réalisation de ses Campagnes Emailing.
Tous les coûts des connexions téléphoniques et d’accès à Internet, ou encore de logiciel ou d’Infrastructure(s), de quelque nature qu’ils soient, sont à la charge du Client.
8. Garanties
8.1. Garanties de la Société MAILSOAR
La Société MAILSOAR ne consent au Client aucune garantie autre que celle(s) éventuellement mentionnées dans les présentes Conditions Générales de Vente.
De convention expresse entre les Parties, les obligations qui pèsent sur la Société MAILSOAR sont des obligations de moyens.
LE CLIENT ACCEPTE ET RECONNAIT QUE LES SERVICES PROPOSES PAR LA SOCIETE MAILSOAR NE COMPRENNENT QUE DES SERVICES D’ACCOMPAGNEMENT ET DE CONSEIL DU CLIENT DANS L’AMELIORATION DE LA DELIVRABILITE DE SES CAMPAGNES EMAILING.
La Société MAILSOAR ne garantit en aucun cas à ses Clients une amélioration de la délivrabilité de leurs Campagnes Emailing ou un résultat quant à leur Campagnes Emailing. La Société MAILSOAR ne réalise pas de Campagnes Emailing au nom et/ou pour le compte de ses Clients.
Dès lors, le Client accepte et reconnaît que la Société MAILSOAR ne lui garantit notamment pas de délai dans l’amélioration ou de niveau de délivrabilité à atteindre.
8.2. Collaboration et Garanties du Client
Le Client s’engage à collaborer activement avec la Société MAILSOAR à la bonne exécution du Contrat, notamment en allouant les ressources humaines et techniques nécessaires et en répondant dans les meilleurs délais aux questions, de quelque nature qu’elle(s) soi(en)t, qui lui auront été soumises par le Prestataire. Le Client s’engage par ailleurs à communiquer au Prestataire, dans les meilleurs délais, toute(s) information(s) qui sera demandée par cette dernière dans le cadre des Services.
Les Parties s’engagent en tout état de cause à agir en tout temps de bonne foi et à faire preuve de transparence l’une envers l’autre et à prendre toutes les dispositions requises (sauf disposition déraisonnable ou disproportionnée) pour assurer la bonne exécution du Contrat.
Le Client assure et garantit à la Société MAILSOAR avoir pris connaissance de et être en conformité avec la réglementation applicable en matière de collecte et de traitement de Données de Tiers, notamment quant aux Données de Tiers qu’il transmet et/ou communique et/ou auxquelles il donne accès, de quelque manière que ce soit et sur quelque support que ce soit, au Prestataire dans le cadre des Services. Notamment, le Client garantit la Société MAILSOAR contre toute réclamation, de quelque nature qu’elle soit, qui serait formulée par un Tiers à l’encontre de la Société MAILSOAR quant aux Données que le Client transmet et/ou communique et/ou auxquelles il donne accès à la Société MAILSOAR dans le cadre des Services et d’une manière plus générale, dans le cadre du Contrat.
Par ailleurs, le Client s’engage à toujours déclarer à la Société MAILSOAR toute anomalie, de quelque nature qu’elle soit, qui surviendrait pendant la durée du Contrat dans le cadre d’une Campagne Emailing afin de permettre à la Société MAILSOAR de l’accompagner au mieux dans le cadre du Service Accompagnement (dans l’hypothèse où le Client a souscrit à ce Service).
9. Résiliation du contrat
La Société MAILSOAR pourra résilier le Contrat à tout moment, de plein droit et à effet immédiat, dans les cas suivants :
le Client ne communique pas à la Société MAILSOAR l’ensemble des informations et/ou documents visés à l’Article 4 des présentes CGV ;
la Société MAILSOAR a des doutes raisonnables et/ou légitimes quant à l’exactitude et/ou la véracité des informations communiquées par le Client dans le cadre de sa souscription aux Services (Article 4 des présentes CGV) ;
le Client ne s’acquitte pas du paiement des sommes dues à la Société MAILSOAR au titre du Contrat et/ou un prélèvement fait l’objet d’un incident de paiement (Article 6 des présentes CGV) ;
le Client ne respecte pas et/ou manque de manière répétée à son obligation de collaboration, telle qu’elle est visée à l’Article 8 des présentes CGV ;
les informations et contenus, et d’une manière plus générale les Données, de quelque nature qu’ils soient, communiqués par le Client et/ou auxquels le Client donne accès à la Société MAILSOAR sont, par leur nature, objet et/ou portée, immorales, contraires aux bonnes mœurs, à la loi ou à la réglementation en vigueur et/ou à l’ordre public ;
Pour les besoins des présentes, sont notamment considérés par la Société MAILSOAR comme étant immorales et/ou contraires aux bonnes mœurs, les informations et contenus, de quelque nature qu’ils soient, qui sont menaçant, injurieux, odieux, racistes, homophobes, contrefaisant, faux, pornographiques, violents, offensants, indécents, obscènes, agressifs ou encore diffamatoires. Cette liste n’est pas limitative.
le Client porte atteinte, de quelque manière que ce soit, aux droits, de quelque nature qu’ils soient, de la Société MAILSOAR, d’un Partenaire et/ou d’un Tiers ;
le Client utilise, par quelque moyen que ce soit, les Services proposés par la Société MAILSOAR, à des fins immorales, contraires aux bonnes mœurs, contraires à l’ordre public, à la loi et/ou à l’économie générale du Contrat ;
le Client ne présente pas ou plus les compétences nécessaires et spécifiques à l’exécution du Contrat, soit parce qu’il manifeste une opposition systématique aux conseils et Services prodigués par la Société MAILSOAR, soit parce qu’il se refuse à suivre et/ou fournir les instructions et/ou informations, de quelque nature que ce soit, nécessaires à l’exécution du Contrat ;
la Société MAILSOAR constate tout acte de piratage, de fraude ou de non-respect des règles éthiques, juridiques ou morales, imputable au Client ;
le Client fait l’objet de poursuites judiciaires (et notamment pénales) de la part d’autorités judiciaires et/ou administratives dans le cadre de son activité ;
le Client fait l’objet d’une procédure collective au sens du Livre VI du Code de commerce ;
La résiliation du Contrat de la part de la Société MAILSOAR pour l’un quelconque des motifs susvisés pourra résulter de la seule inexécution ou manquement, total(e) ou partiel(le), du Client à l’une quelconque des obligations susvisées.
Dans une telle hypothèse, les Parties acceptent et conviennent par avance que la Société MAILSOAR n’aura pas à envoyer au Client une mise en demeure préalable. La Société MAILSOAR adressera au Client, par courriel, une notification de résiliation motivant les raisons qui l’ont menées à mettre un terme au Contrat. La résiliation sera réputée effective au premier jour qui suit l’envoi dudit courriel par la Société MAILSOAR.
Le Client dont le Contrat ferait l’objet d’une telle résiliation, pour l’un des motifs susvisés, accepte et reconnaît qu’il devra s’acquitter automatiquement envers la Société du paiement de la totalité des sommes restant dues à la Société MAILSOAR au titre du Contrat et pour la durée restant à courir du Contrat.
Ces stipulations n’empêchent pas la Société d’exercer à l’encontre du Client toute action judiciaire qu’elle estimera nécessaire, afin d’obtenir la réparation intégrale de tous les préjudices, de quelque nature qu’ils soient, qu’elle aurait subis et/ou subirait en raison et/ou qui serait lié, de manière directe et/ou indirecte, aux agissements dudit Client. La Société MAILSOAR est libre d’exercer toutes les voies de droit dont elle titulaire afin d’obtenir la réparation de tous les préjudices, de quelque nature qu’ils soient, directs et/ou indirects, qu’elle subirait ou aurait subis du fait de tout manquement et/ou inexécution du Client à l’une quelconque des obligations stipulées dans le Contrat et/ou ainsi que de tout acte du Client qui serait contraire aux bonnes mœurs, à la loi ou à l’ordre public qui aurait été réalisé par le Client dans le cadre du Contrat et/ou via son utilisation des Services proposés par la Société MAILSOAR.
Par ailleurs, il est expressément convenu et accepté entre les Parties que le Contrat est à durée déterminée, il ne peut en aucun cas faire l’objet d’une résiliation de la part du Client avant son terme sauf en cas de faute d’une particulière gravité justifiée de la Société MAILSOAR. Le Client autorise de manière expresse la Société MAILSOAR à facturer et prélever sur le compte bancaire du Client la totalité du coût des Services restant du au titre du Contrat en cas de non-respect du Client au présent alinéa.
Sauf hypothèse d’une résiliation du Contrat par le Client selon les conditions susvisées, pour faute d’une particulière gravité justifiée de la Société MAILSOAR, tous les montants dus au titre du Contrat sont dus à la Société MAILSOAR jusqu’au terme convenu entre les Parties.
10. Force majeure.
Aucune des Parties ne pourra être tenue pour responsable de l’inexécution de l’une de ses obligations contractuelles du fait de la survenance d’un cas de force majeure. Sont considérées comme des cas de force majeure – outre ceux habituellement retenus par les juridictions françaises – les grèves, les ruptures d’approvisionnement, les incendies, les tremblements de terre, les inondations, les guerres, les actes de terrorisme ou tout autre élément imprévisible, irrésistible et externe.
Si l’empêchement est temporaire, l’exécution de l’obligation est suspendue à moins que le retard qui en résulterait ne justifie la résiliation du Contrat. Si l’empêchement est définitif, le Contrat est résilié de plein droit et les parties sont libérées de leurs obligations dans les conditions prévues aux articles 1351 et 1351-1 du Code civil.
Pour les besoins du présent, les Parties acceptent et reconnaissent que les Services peuvent être réalisé(s) à distance. Dès lors, dans l’hypothèse où, en raison d’une épidémie ou d’une pandémie, le gouvernement (ou autorité(s)) de la République française (ou celui du Client) serait amené à prendre des mesures locales ou nationales destinées notamment à limiter la liberté de déplacement des individus en raison d’une épidémie et/ou pandémie dans le territoire où se trouve les locaux de la Société MAILSOAR ou du Client, le Contrat ne pourra pas être résilié pour cause de force majeure, l’essentiel des Services pouvant être réalisés à distance.
Dans une telle hypothèse, les Parties prendront attache pour adapter au mieux la réalisation des Services.
11. Propriété Intellectuelle
Le Client assure et garantit à la Société MAILSOAR que l’ensemble des informations et Données, quel que soit leur nature et/ou leur support, qu’il transmet et/ou communique à la Société MAILSOAR et/ou auxquelles il donne accès à la Société MAILSOAR dans le cadre du Contrat sont valides, exacts, sincères.
Le Client assure et garantit à la Société MAILSOAR qu’il dispose de la pleine et entière propriété et/ou de tous les droits et/ou autorisations nécessaires, quelle que soit leur nature, et notamment, mais non limité à, administratives, conventionnelles, légales et/ou réglementaires quant aux informations et Données, qu’il transmet et/ou communique et/ou auxquelles il donne accès à la Société MAILSOAR pour la bonne réalisation des Services ainsi qu’à, le cas échéant, leur éventuel traitement par la Société MAILSOAR pour les besoins du Contrat. Dans l’hypothèse où cette garantie venait à être modifiée ou affectée, de quelque manière que ce soit, en cours d’exécution du Contrat, le Client est tenu d’en informer la Société MAILSOAR dans les plus brefs délais, par écrit, à l’adresse email : pierre@mailsoar.com.
En tout état de cause, le Client assure et garantit à la Société MAILSOAR avoir pris connaissance de et être en conformité avec la réglementation applicable en matière de collecte et de traitement de Données de Tiers, notamment quant aux Données de Tiers qu’il transmet et/ou communique et/ou auxquelles il donne accès au Prestataire dans le cadre des Services.
Le Client garantit la Société MAILSOAR contre toute réclamation, de quelque nature qu’elle soit, qui serait formulée par un Tiers à l’encontre de la Société MAILSOAR quant aux Données que le Client transmet et/ou communique et/ou auxquelles il donne accès à la Société MAILSOAR dans le cadre des Services.
Le Client est seul responsable des Données qu’il communique à la Société MAILSOAR et/ou auxquelles il donne accès à la Société MAILSOAR.
Tout manquement du Client à l’un quelconque des engagements susmentionnés pourra entraîner la résiliation du Contrat selon les modalités et dans les conditions de l’Article 9 des présentes Conditions Générales de Vente.
En aucun cas le transfert ou l’accès donné par le Client à la Société MAILSOAR relativement aux Données ne saurait valoir et/ou interprété comme une cession de droits, de quelque nature qu’ils soient, du Client à la Société MAILSOAR relativement aux Données concernées. La Société MAILSOAR accepte et reconnaît n’être titulaire d’aucun droit sur ces Données, autre que ceux qui lui sont éventuellement conférés par le Client, pour les seuls besoins de la réalisation des Services objets du Contrat. A cet égard, la Société MAILSOAR s’engage de manière ferme et irrévocable à n’utiliser les Données communiquées par le Client et/ou auxquelles il lui sera donné accès par le Client que pour les seuls besoins de la réalisation des Services objets du Contrat. La Société MAILSOAR s’engage de manière ferme et irrévocable à ne pas céder et/ou transférer, à titre gratuit et/ou onéreux, totalement ou partiellement, les Données qui lui seront communiquées et/ou auxquelles il lui sera donné accès par le Client dans le cadre du Contrat.
12. Confidentialité
Le Contrat et l’ensemble des informations qui seront échangées entre les Parties dans le cadre de son exécution sont et demeureront confidentielles pendant toute la durée du Contrat et après l’arrivée à son terme et/ou sa résiliation, quelle qu’en soit la cause, sauf pour la bonne réalisation des Services auxquels le Client a souscrit auprès de la Société MAILSOAR ou l’exercice des droits respectifs de chacune des Parties, dans le cadre d’un litige qui les opposerait.
Dans ces circonstances, les Parties acceptent, reconnaissent et se garantissent mutuellement que toutes les Informations Confidentielles et/ou échanges qui seront communiquées et/ou réalisés et/ou auxquelles il sera donné accès entre elles sont et resteront couverts par la stricte confidentialité.
Pour les besoins du présent Article :
« Destinataire » : désigne la Partie qui reçoit l’information.
« Divulgateur » : désigne la Partie qui communique l’information.
« Informations Confidentielles » : désigne les Données et/ou informations dont l’une ou l’autre des Parties détient la propriété ou la possession, qui ne font pas partie du domaine public ou qui n’ont pas encore été divulguées sous une forme matérielle ou immatérielle, quelles que soient les modalités et les circonstances de leur communication, y compris, notamment, les informations suivantes :
des informations, inventions, dessins ou modèles, procédés, procédures, formules, améliorations, des technologies ou des méthodes ;
des échantillons, rapports, Données, savoir-faire, travaux en cours, modèles, dessins/plans, photos, outils de développement, spécifications, logiciels, codes source, codes objet, organigrammes et bases de données ;
des stratégies marketing, plans, documentations et informations financières ou projections, des opérations, estimations des ventes, business plans et résultats de performances relatifs à l’activité commerciale passée, présente ou future de l’une ou l’autre des Parties et de ses entités apparentées ou de ses filiales ;
des secrets d’affaires ; des plans relatifs à des produits ou des services et des listes de clients ou de fournisseurs.
« Partie » : désigne soit le Destinataire soit le Divulgateur.
Chacune des Parties s’engage à :
ne pas divulguer les Informations Confidentielles, directement ou indirectement, à un Tiers ;
ne pas utiliser les Informations Confidentielles à d’autres fins que dans le cadre du Contrat ;
ne pas exploiter pour son compte ou par toute personne interposée les Informations Confidentielles dans le cadre d’une activité concurrente ;
ne pas omettre d’informer son personnel et ses collaborateurs du caractère confidentiel des Informations Confidentielles et des obligations et précautions qui en découlent ;
La durée du présent engagement de Confidentialité est de cinq (5) ans à compter de la signature du Contrat.
Le Destinataire devra restituer ou détruire dans les plus brefs délais et sans que ce délai ne puisse dépasser un (1) mois, toutes Informations Confidentielle et leurs copies (reproduites ou stockées sur quelque support que ce soit), y compris toutes les notes et tous les documents dérivé(e)s des Informations Confidentielles communiquées dans le cadre du Contrat, à (i) la date du terme ou de la résiliation du Contrat ou (ii) à toute date à laquelle le Divulgateur demandera au Destinataire de la faire, la date retenue étant la plus proche.
13. Stipulations Générales
13.1 Sous-traitance
La Société MAILSOAR est en droit de sous-traiter tout ou partie de ses obligations au titre du présent Contrat, auprès du ou des Partenaires de son choix pour la réalisation des services autre que les Services de Délivrabilité (à titre d’exemple, la Société MAILSOAR peut avoir recours à un Partenaire pour l’envoi des factures et l’encaissement des sommes qui lui sont dues). S’agissant de la réalisation des Services de Délivrabilité, la Société MAILSOAR ne pourra sous-traiter tout ou partie desdits Services qu’avec l’accord préalable écrit du Client.
13.2 Cession
Le Contrat est conclu en considération de la personne du Client signataire et ne peut donc faire l’objet de la part du Client d’une cession et/ou d’une transmission, à titre gratuit ou onéreux, partielle et/ou totale, au profit d’un Tiers sans l’accord préalable et écrit de la Société MAILSOAR. Toute cession ou transfert, quel qu’en soit sa dénomination et/ou portée, directe ou indirecte, totale ou partielle, réalisé en violation des stipulations du présent Article sera nulle.
13.3 Notification / Election de domicile
Toutes les notifications, mises en demeure et, d’une manière générale, tous les courriers, de quelque nature que ce soit, en lien avec l’interprétation, la validité, l’exécution et/ou l’interruption du Contrat devront être adressés par courriel à l’autre Partie aux adresses e-mails communiquées lors de la signature du Contrat sauf dans les cas où il est expressément indiqué que l’envoi d’un courrier recommandé avec accusé de réception est nécessaire.
13.4 Modification des termes et conditions des présentes Conditions Générales.
Le Client accepte et reconnaît que les Conditions Générales sont susceptibles d’évoluer et d’être modifiées unilatéralement et à tout moment par la Société MAILSOAR, notamment pour les besoins des Services qu’elle propose à ses Clients ou encore en vue d’améliorer et/ou compléter les Services et/ou de respecter la loi et la réglementation en vigueur.
Chaque dernière version des Conditions Générales sera envoyée au Client par courriel. Ces nouvelles Conditions Générales d’Utilisation seront réputées avoir été reçues au lendemain de l’envoi dudit courriel par la Société MAILSOAR. Sans retour écrit du Client indiquant à la Société MAILSOAR qu’il refuse la nouvelle version des Conditions Générales dans un délai d’un (1) mois à compter de la réception dudit courriel, le Client sera réputé avoir accepté la nouvelle version des Conditions Générales, lesquelles trouveront alors à s’appliquer à compter de cette date d’acceptation.
Le Client accepte et reconnaît que dans l’hypothèse où il refuse les termes des nouvelles Conditions Générales, le Contrat pourra être résilié de plein droit par la Société selon les modalités visées à l’Article 9 des présentes CGV et, par dérogation aux stipulations dudit article, aucune somme ne sera due par le Client à la Société, la résiliation prenant effet à la date du refus du Client.
13.5 Non-renonciation
Le fait pour l’une ou l’autre des Parties de ne pas se prévaloir d’un manquement de l’autre partie à l’une quelconque de ses obligations au titre du Contrat ne saurait être interprété comme une renonciation à l’obligation en cause.
13.6 Non validité partielle
Si une ou plusieurs stipulations du Contrat est (ou sont) tenue(s) pour illégale(s), nulle(s), inapplicable(s), ou non valide(s), caduque(s) ou considérée(s) comme telle(s) en application d’une loi, d’un règlement ou d’une décision de justice devenue définitive, elle(s) sera(ont) réputée(s) non écrite(s) et les autres stipulations demeureront en vigueur.
Dans cette hypothèse, les Parties feront tout leur possible pour remplacer de bonne foi la clause annulée par une stipulation licite dotée d’un objet et d’un effet similaire.
13.7 Titres
Les titres des articles du Contrat n’ont qu’une valeur indicative et ne permettent pas d’interpréter la teneur des stipulations y afférentes au titre du Contrat et/ou des présentes Conditions Générales d’Utilisation.
13.8 Indépendance des parties
Le Contrat ne saurait créer aucun lien de dépendance et/ou de subordination entre les Parties. Aucune des Parties ne pourra prétendre vis-à-vis des tiers qu’elle a le pouvoir de représenter l’autre Partie. Chacune des Parties demeure indépendante au titre du Contrat.
13.9 Droit applicable et attribution de compétence
Le Contrat est soumis à la loi française.
TOUT DIFFEREND ET/OU LITIGE RELATIF A LA VALIDITE, A L’INTERPRETATION, A L’EXECUTION ET/OU A LA RESILIATION DU CONTRAT SERA SOUMIS A LA COMPETENCE EXCLUSIVE DES JURIDICTIONS COMPETENTES SE TROUVANT DANS LE RESSORT DU LIEU DU SIEGE SOCIAL DE LA SOCIETE MAILSOAR, NONOBSTANT PLURALITE DE DEFENDEURS, DEMANDE INCIDENTE, APPEL EN GARANTIE, PROCEDURE D’URGENCE, PAR REFERE OU PAR REQUETE.
